What Auditley is
Auditley is a SaaS platform that helps your company prepare for a SOC 2 audit. It does not perform the audit itself. That is conducted by a licensed CPA firm of your choosing. Outputs of Auditley including control evidence, draft policies, and dashboards are inputs to a real audit, not a substitute for one.
AI outputs disclaimer
AI-generated content produced by Auditley, including policy drafts, control guidance, and audit preparation recommendations, is for informational purposes only. It does not constitute legal, accounting, or professional compliance advice. All AI-generated outputs should be reviewed by qualified professionals before use in a real audit or compliance programme. Auditley makes no warranty that AI outputs will meet the requirements of any specific auditor, audit firm, or regulatory body.
Subscription and billing
- Plans are monthly, charged in advance via Stripe.
- A 14-day free trial is included. We collect your card upfront so conversion to paid is automatic. Cancel inside the trial and you will not be charged.
- Any promotional pricing offered at signup is locked for the lifetime of your subscription as long as it remains active. Cancellation and restart results in standard pricing applying.
- We reserve the right to change pricing for new subscriptions with 30 days notice. Existing active subscriptions are not affected.
What you agree to
By using Auditley you agree to the following:
- You will not upload content that is unlawful, infringes third-party rights, or contains malware or malicious code.
- You will not upload personal data beyond what is necessary for your compliance preparation activities.
- You will not attempt to access workspaces you are not a member of, scrape the platform at scale, or reverse-engineer the AI prompts or content.
- You will not use the platform for any unlawful purpose or in any way that violates applicable laws or regulations.
- You are responsible for ensuring that your use of the platform complies with your own obligations to your customers and employees regarding their data.
What we agree to
- We will keep the platform available. Our target uptime is 99.5%, measured monthly, excluding scheduled maintenance and circumstances outside our reasonable control.
- We will not access your workspace content except when you ask us to for support purposes, or when a security incident requires it. Any such access is logged.
- We will notify you by email at least 30 days before making material changes to these Terms.
Intellectual property
Auditley owns the platform, its underlying technology, the control library, system prompts, guidance content, and all other platform content. Nothing in these Terms transfers any ownership of platform content to you.
You own your workspace data: the evidence files you upload, the policy drafts you approve, and the notes you write. By using the platform you grant Auditley a limited licence to store and process your workspace data solely to provide the service to you.
Termination
- You can cancel at any time from your account settings. Your workspace remains in read-only mode for 30 days after cancellation, then is permanently deleted.
- We may terminate your account if you breach these Terms. We will provide 14 days notice except where a breach puts other customers or platform security at immediate risk, in which case we may act immediately.
Liability
Auditley is provided "as is" without warranties of any kind, express or implied. We do not warrant that the platform will be error-free, that AI outputs will be accurate or complete, or that use of the platform will result in a successful audit outcome.
Our total liability to you for any claim arising from your use of the platform is capped at the fees you paid to Auditley in the 12 months prior to the event giving rise to the claim.
Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.
Changes to these terms
If we make material changes to these Terms we will notify you by email at least 30 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of British Columbia.
